By creating an account, connecting a third-party service, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree with these Terms, you must not use the Service.

3. Service Description

Optimzd is a B2B marketing attribution platform that connects advertising data (Meta Ads, LinkedIn Ads, and other platforms) to CRM data (HubSpot) to provide closed-loop revenue attribution, analytics, and AI-powered optimization recommendations.

Key features include: multi-platform ad data synchronization, CRM data integration, multi-touch attribution modeling, AI-powered campaign insights, machine learning lead scoring, budget optimization recommendations, and performance dashboards.

The Service is currently in Beta. Features, availability, and performance may change without prior notice.

4. Account Registration & Security

To use the Service, you must create an account using Google OAuth authentication. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access to your account

Optimzd reserves the right to suspend or terminate accounts that violate these Terms or that appear to be used fraudulently.

5. Third-Party Integrations

The Service requires OAuth connections to third-party platforms (HubSpot, Meta Ads, LinkedIn Ads, etc.) to function. By connecting these accounts, you:

• Authorize Optimzd to access and process data from these platforms as needed to provide the Service
• Confirm you have the necessary permissions and rights to connect these accounts
• Acknowledge that the availability and functionality of integrations depend on the third-party providers' APIs and terms

Optimzd is not responsible for changes, outages, or limitations imposed by third-party service providers. You are responsible for complying with the terms of service of all connected third-party platforms.

6. Data Ownership & Responsibility

Your data remains yours. You retain all ownership rights to the data you import, sync, or generate through the Service. Optimzd does not claim ownership of your User Data.

You grant Optimzd a limited, non-exclusive license to process, store, and display your User Data solely for the purpose of providing and improving the Service.

You are responsible for ensuring that the data you connect to the Service complies with applicable data protection laws, including the GDPR. You must have a valid legal basis for sharing CRM contact data and advertising data with the Service.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe on the rights of any third party
• Transmit malicious code, viruses, or any destructive content
• Attempt to gain unauthorized access to the Service or its infrastructure
• Use the Service for any purpose other than legitimate B2B marketing attribution and analytics
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape, crawl, or extract data from the Service beyond its intended API usage
• Share your account credentials with unauthorized individuals

8. Intellectual Property

The Service, including its original content, features, functionality, user interface, and underlying technology, is owned by Optimzd and protected by intellectual property laws.

Nothing in these Terms grants you any right to use the Optimzd name, logo, or trademarks without prior written consent.

9. Service Availability & Disclaimer

The Service is provided "as is" and "as available" during the Beta Period. Optimzd does not warrant that the Service will be uninterrupted, error-free, secure, or free of bugs.

Optimzd may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

To the maximum extent permitted by law, Optimzd disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Optimzd and its founder, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, loss of business opportunities, or business interruption.

In no event shall Optimzd's total aggregate liability exceed the amount paid by you to Optimzd in the twelve (12) months preceding the claim. During the free Beta Period, this amount is zero (0) euros.

This limitation applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.

11. Indemnification

You agree to indemnify, defend, and hold harmless Optimzd and its founder from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Term & Termination

These Terms are effective from the date you first access or use the Service and remain in effect until terminated.

You may terminate your account at any time by contacting us at contact@getoptimzd.com. Upon termination, we will delete your account and associated data within 30 days, unless retention is required by law.

Optimzd may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. In the event of termination for cause, Optimzd will provide a reasonable explanation.

Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination of these Terms.

13. Modifications to Terms

Optimzd reserves the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 15 days before they take effect. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated Terms.

14. Force Majeure

Optimzd shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, third-party API failures, cyberattacks, or pandemics.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Optimzd regarding the use of the Service. They supersede all prior agreements, communications, and understandings, whether written or oral.

17. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising from these Terms or the use of the Service shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.
